RX LAB DEALER AGREEMENT

By creating a Dealer account or participating in the RX Lab Dealer Program (the “Program”), you agree to the following terms and conditions. These terms govern your participation in the Program operated by Zombie RX, LLC.
If you do not agree with these terms, do not participate in the Program.
The RX Lab Dealer Program is operated by Zombie RX, LLC.
1. Program Overview
The Program allows approved participants (“Dealers”) to promote products using a unique referral link or coupon code.
Dealers earn commissions when customers complete purchases using their referral link or coupon code.
Zombie RX, LLC reserves the right to approve, deny, or remove any Dealer account at its sole discretion.
Participation in the Program does not create any partnership, employment, or agency relationship.
2. Commission Structure
Dealers earn commissions under the following structure:
• 15% commission on initial or one-time orders
• 10% commission on recurring subscription shipments associated with the original referral
Zombie RX, LLC may modify commission rates or program structure at any time. Changes apply to future transactions.
3. Qualifying Purchases
A commission is earned when:
• A valid referral link or coupon code is used
• The purchase is completed and paid
• The order is not canceled, refunded, or charged back
Zombie RX, LLC may deny commissions on transactions that appear fraudulent, abusive, or in violation of this agreement.
4. Self-Purchases
Dealers may not earn commission on purchases made for personal use.
This includes:
• purchases made using their own referral link
• purchases made using their own coupon code
• purchases made through accounts controlled by the Dealer
Violations may result in removal from the Program and forfeiture of commissions.
5. Prohibited Promotion Methods
Dealers may not:
• post coupon codes on coupon aggregation or deal websites
• impersonate Zombie RX or present themselves as the official brand
• make false or misleading claims about products
• send spam or unsolicited marketing communications
• run paid search ads using Zombie RX brand terms without permission
• create sites or accounts designed solely to capture discount traffic
Zombie RX, LLC determines what constitutes prohibited activity.
6. Brand Representation
Dealers must represent the brand accurately.
Dealers may not:
• claim to be employees of Zombie RX
• imply official endorsement or sponsorship
• use trademarks in domains or social handles without permission
Zombie RX, LLC may require removal of any content that it determines to be harmful.
Dealers must comply with all applicable advertising and disclosure laws, including FTC guidelines.
6A. Content Usage Rights
By participating in the Program, Dealers grant Zombie RX a non-exclusive, worldwide, royalty-free license to repost, reproduce, edit, distribute, display, and use content created in connection with Zombie RX, RX Lab, Zombie RX products, RX Lab products, or Dealer promotions.
This includes, but is not limited to:
• social media posts
• videos
• photographs
• reviews
• testimonials
• livestream clips
• promotional content submitted to or shared with Zombie RX
Dealers retain ownership of their original content.
Upon request, Dealers agree to provide Zombie RX with the original content file when reasonably available, including video files, image files, or other promotional assets created in connection with Zombie RX or RX Lab products.
Zombie RX may use Dealer content for organic social media, website, email, and brand marketing purposes unless otherwise agreed in writing.
7. Payments
Commissions are typically paid monthly following a validation period for refunds and chargebacks.
Zombie RX, LLC may delay or withhold payments in cases of suspected fraud or violations.
Dealers are responsible for any applicable taxes.
8. Termination
Zombie RX, LLC may terminate a Dealer account at any time, with or without notice.
Grounds include, but are not limited to:
• violation of this agreement
• fraudulent activity
• abuse of the Program
• actions that harm the brand
Unpaid commissions may be forfeited if termination results from violations.
9. Changes to the Program
Zombie RX, LLC may modify:
• commission rates
• program rules
• eligibility requirements
• payment structures
at any time.
Continued participation constitutes acceptance of changes.
10. Limitation of Liability
Zombie RX, LLC is not liable for indirect, incidental, or consequential damages related to participation.
No earnings or income are guaranteed.
11. Governing Law
This Agreement is governed by the laws of the United States and the State of Colorado.
